Terms of Use

1.1 You must be at least 18 years old and legally capable of entering into binding contracts. You must provide an accurate date of birth at registration. Aulax does not permit registration by anyone under 18.

1.2 By using the Service you confirm that:

• the information you provide is accurate and complete;
• you will comply with all applicable laws and regulations.

1.3 If you do not agree to these Terms, you must not access or use the Service.

2.1 Digital Infrastructure

Aulax provides digital infrastructure that facilitates discovery of, interaction with, and transactions with independent third-party merchants (“Merchants” or “Suppliers”).

2.2 Platform as Venue

The Service functions as a digital venue connecting users and Merchants within a physical-digital commerce environment.

Aulax provides the technological systems that facilitate discovery, communication, and order processing but does not participate in the underlying transaction between users and Merchants.

2.3 No Operational Control

Aulax does not:

• manufacture or supply goods;
• operate Merchant premises;
• employ Merchant staff;
• control Merchant pricing, inventory, or fulfilment.

2.4 Direct Transaction Relationship

Contracts for goods or services are formed directly between users and Merchants. Aulax is not a party to those transactions.

2.5 Payments and Facilitation

Payments are processed through a regulated third-party payment provider that onboards the Merchant directly. The Merchant is the recipient of payment for the goods or services supplied.

Aulax charges only its own facilitation and convenience fees, which are disclosed to you before you complete a transaction. Payment-processing charges are borne by the Merchant.

2.6 Merchant Responsibility

Merchants are responsible for compliance with applicable laws including:

• consumer protection laws;
• food safety and hygiene regulations;
• licensing requirements;
• product safety standards.

Certain features of the Service require a user account.

You agree to:

• provide an accurate date of birth and maintain accurate account information;
• safeguard authentication credentials;
• notify Aulax of unauthorised account use.

You remain responsible for activities conducted under your account unless they are caused by Aulax’s negligence.

Aulax may suspend or terminate accounts where necessary to address:

• fraud or abuse;
• violations of these Terms;
• regulatory or security risks.

Orders placed through the Service generate a unique Aulax Order Code — a collection PIN that confirms the handover of an order between the Merchant and the user. An order cannot be collected or released without it.

Users are responsible for safeguarding the Order Code. Aulax is not liable for goods released due to failure to protect the Order Code.

Payments are processed through a regulated third-party payment provider. Aulax’s facilitation and convenience fees are shown clearly before you complete payment.

Ownership and risk in goods transfer upon confirmed collection or delivery.

Refunds or product complaints must be addressed directly with the Merchant.

Nothing in these Terms affects statutory rights under the Consumer Rights Act 2015.

Merchants are solely responsible for the accuracy of:

• product descriptions;
• pricing;
• availability;
• allergen or dietary information;
• regulatory certifications.

Aulax does not guarantee that Merchant information is accurate or up to date.

Aulax provides digital infrastructure facilitating interactions between users and independent Merchants.

The Platform may contain content, listings, reviews, ratings, images, comments, and other materials created by third-party participants.

Aulax does not create, verify, endorse, or guarantee the accuracy, legality, or reliability of third-party content or Merchant listings.

6.1 Intermediary Role

To the extent permitted by applicable law, Aulax acts as an intermediary service provider and shall not be liable for unlawful third-party content where Aulax:

• does not have actual knowledge of unlawful activity; and
• acts expeditiously to remove or restrict such content upon obtaining knowledge.

Aulax may remove or restrict content that violates applicable laws or platform policies.

6.2 Merchant Listings

Merchant listings, product descriptions, images, and other business information displayed through the Service may be provided directly by Merchants or generated through automated systems.

Merchants remain responsible for ensuring the accuracy, legality, and completeness of the information associated with their listings.

6.3 Conceptual or Representative Content

In certain cases, the Service may display conceptual, illustrative, or representative images or descriptions intended to demonstrate a product category or service type rather than an exact item produced by a Merchant.

Such content may be used to support discovery, categorisation, or standardised presentation.

Aulax does not guarantee that conceptual or illustrative content reflects the exact goods or services offered by a Merchant.

6.4 Advertising Compliance

Merchants and other participants are responsible for ensuring that any advertising, promotional content, or commercial communications published through the Service comply with applicable advertising, consumer protection, and marketing laws, and must not contain misleading, deceptive, or unlawful claims.

6.5 Pre-Generated Merchant Content and Discovery Profiles

To support discovery and user experience, Aulax may generate or display Merchant profiles, listings, or descriptive content using publicly available information, algorithmic systems, conceptual imagery, or other automated processes.

Such information may include, where available:

• business names;
• location or address;
• service categories;
• representative imagery;
• general business descriptions.

These discovery profiles may appear even if a Merchant has not yet registered or verified an account with Aulax. Information contained within such profiles may be incomplete, estimated, or inaccurate.

Where a Merchant subsequently registers, the Merchant is responsible for reviewing, correcting, and maintaining the accuracy of their profile and listings.

Aulax does not guarantee the completeness, accuracy, or currency of automatically generated or publicly sourced information and shall not be liable for inaccuracies in such data.

Users must not:

• engage in fraudulent or manipulative transactions;
• bypass or interfere with order verification or collection controls, including the Aulax Order Code;
• reverse engineer the Service or its underlying systems;
• interfere with infrastructure operations;
• abuse promotional systems;
• harass users or Merchant staff;
• upload unlawful or infringing content.

Violations may result in enforcement actions including account suspension.

Users may submit reviews, ratings, or feedback relating to Merchants or experiences.

Reviews represent individual user opinions and not statements made by Aulax.

By submitting content you grant Aulax a worldwide, non-exclusive, royalty-free licence to display such content within the Service.

Aulax operates as an intermediary for user-generated content and is not liable for unlawful content where it acts promptly upon notice.

Participants must not attempt to manipulate ratings, reviews, or reputation systems.

Prohibited activities include:

• posting fake or misleading reviews;
• coordinating review manipulation campaigns;
• offering incentives for undisclosed positive reviews;
• submitting malicious or fraudulent complaints.

Aulax may investigate suspected manipulation and may remove content or suspend accounts where necessary. Aulax does not guarantee the accuracy or reliability of user reviews.

Personal data is processed in accordance with:

• the Privacy Policy;
• the Data Protection Act 2018;
• UK GDPR;
• PECR 2003.

Users may exercise rights including access, correction, deletion, and objection to processing.

All Aulax technologies including:

• software;
• algorithms;
• system architecture;
• branding;
• infrastructure integrations,

are the intellectual property of Antive Ltd.

Users receive a limited licence for personal, non-commercial use.

The Service is provided on an “as-is” and “as-available” basis.

Aulax does not guarantee uninterrupted or error-free operation.

Aulax is not responsible for disruptions caused by:

• Merchant system downtime;
• payment processors;
• telecommunications failures;
• events beyond reasonable control.

The Service may use automated systems to support:

• Merchant discovery;
• search results;
• personalised recommendations;
• fraud detection.

Rankings and visibility may change dynamically based on various signals. Participation does not guarantee visibility or ranking position.

Aulax provides digital infrastructure designed to support commerce interactions.

Aulax does not guarantee:

• transaction volume;
• Merchant sales performance;
• customer traffic;
• rankings or discovery visibility.

Commercial outcomes depend on numerous external factors, including user behaviour, market demand, Merchant operations, and algorithmic systems.

Aulax continuously improves its infrastructure and may introduce, modify, suspend, or discontinue features.

Users should not rely on the continued availability of specific features.

Experimental or beta features may be released for testing.

Such features may be incomplete and are provided without guarantees of performance.

Information provided through the Service is for informational purposes only.

Users should exercise independent judgment when making purchasing decisions.

Users agree to indemnify Antive Ltd from claims arising from:

• breach of these Terms;
• misuse of the Service;
• unlawful content submitted by the user.

Nothing excludes liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation.

Subject to the above, Aulax shall not be liable for:

• Merchant regulatory breaches;
• inaccurate product information;
• incidents occurring at Merchant premises;
• losses arising from shared Order Codes;
• indirect or consequential loss.

You may close or delete your account at any time from within the Aulax app.

When you delete your account, we remove or anonymise the personal data that identifies you. Some records are kept where the law requires — for example, transaction records retained for tax purposes — or in an anonymised form that no longer identifies you. See the Privacy Policy for detail.

Aulax may suspend or terminate accounts for breaches, fraud, or regulatory concerns.

Aulax is not liable for failures caused by events beyond reasonable control including cyberattacks, telecommunications failures, power outages, or natural disasters.

Aulax may assign its rights or obligations in connection with corporate restructuring, mergers, or asset transfers.

Users may not transfer rights without consent.

If any provision is found unenforceable, the remaining provisions remain valid.

These Terms, together with the Privacy Policy, the App Store & Device Terms (where applicable), and platform policies, constitute the entire agreement governing use of the Service.

The parties agree to attempt a good-faith resolution before initiating legal proceedings.

Where appropriate, mediation may be pursued.

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the jurisdiction of the courts of England and Wales.

The Service may be accessible from multiple jurisdictions.

Users and Merchants are responsible for ensuring that their access to and use of the Service complies with all applicable laws and regulations in the jurisdiction where they are located or operate.

Certain goods, services, or features may not be permitted in all jurisdictions.

Aulax does not represent or warrant that the Service, or any Merchant offerings available through the Service, are appropriate or lawful in all locations.

Participants who access the Service from outside the United Kingdom do so at their own initiative and are responsible for compliance with local laws.

Aulax reserves the right to restrict or limit access to the Service, or to particular features, where necessary to comply with legal or regulatory requirements.
